Those looking for a single name to answer who controls Botafogo's SAF today will find a more complicated structure. As of August 8, 2026, GDA Luma had not yet been announced as the company's new formal controller, although it had already participated in decisions and had invested money in the operation. John Textor, in turn, is outside formal management. Eagle Bidco has gone into administration in England, and the social club has activated a contractual mechanism by which it claims to have increased its stake from 10% to 51%.
In practice, therefore, it is necessary to separate four things: who holds or claims the shares, who exercises corporate rights, who manages the SAF on a daily basis and who is negotiating the next change of control.
The power map of Botafogo’s SAF
| Actor | Current position | Effective power today |
|---|---|---|
| GDA Luma / Gabriel de Alba | Buyer chosen and financier of the transition, but no transfer of control officially completed in the most recent sources located | It already influences decisions and planning, but it still depends on the corporate conclusion of the operation |
| Eagle Football Holdings Bidco | Holding company that concentrated 90% of SAF; is under administration in the United Kingdom | Your shareholding is the main asset involved in the transfer, but Eagle is now run by the administrators of Cork Gully |
| Botafogo de Futebol e Regatas, the social club | Originally it was 10%; in July he activated a subscription bonus and started to maintain that he owns 51% | It has direct influence on governance and drives the strategy to enable the entry of GDA; the new shareholding composition, however, is part of a legal and corporate dispute |
| John Textor | Former manager and main face of Eagle in Botafogo | He no longer manages SAF nor is he a member of the current Board of Directors; continues trying to preserve or recover rights through legal means |
This separation avoids two misleading shortcuts: simply saying that “GDA already owns Botafogo” or, in the opposite sense, treating Textor as if he still ran the club.
Does the GDA already control Botafogo?
Formally, the safest answer is still no.
On June 5, Botafogo and GDA Luma signed a binding agreement for the entry of Gabriel de Alba's group. The projected operation envisaged the acquisition of 90% of SAF. The problem is that the signing with Botafogo did not automatically transfer the shares that were linked to Eagle Bidco. This stage depended on an understanding with Cork Gully, administrator of the English holding company.
The GDA has, however, advanced far beyond the position of a simple interested party. On July 3, ge reported that the group had advanced US$14.3 million, around R$75 million according to the quote used in the report, for SAF's immediate expenses. The value was part of the financial structure planned for the entry of the new investor.
On July 17, the situation was even clearer: the official transfer had not ended, but the GDA was already participating in decisions and influencing sports planning. This is why it can be described as a controlling company in the making or a transition investor, but not yet as a formally consolidated owner without reservations.
What happened to the 90% of Eagle
In the structure prior to the most recent dispute, Eagle Bidco appeared with 90% of SAF shares and the social club with 10%. What changed radically was who started to exercise power over Eagle itself.
Eagle Football Holdings Bidco Limited formally entered administration in the United Kingdom on 27 March 2026. The official British register identifies Stephen Cork and Anthony Cork of Cork Gully as administrators. Cork Gully itself reports that, with administration, it has taken control of Eagle Bidco and that the powers of its directors have been suspended in accordance with English law.
This helps to understand why negotiation no longer depends solely on John Textor. Cork Gully began managing the holding company and its assets, including the stake related to Botafogo, and opened a process to seek solutions for creditors. Companies House records hold Eagle Bidco in “In Administration” status.
In other words, saying that “Eagle controls Botafogo” requires an important caveat: Eagle is no longer a structure freely commanded by Textor and is now subject to insolvency administration.
And the 51% claimed by the social club?
This is the most delicate point on the map.
On July 7, the Botafogo associativo notified Eagle and Cork Gully that it was triggering a subscription bonus provided for in the corporate structure. The club accuses the former management of not having adequately fulfilled a contribution obligation of approximately R$100 million, stating that resources deposited with SAF were transferred back to Lyon practically at the same time. Textor contests the interpretation and maintains the regularity of the operations.
According to the understanding presented by the club, exercising the bonus would dilute Eagle to 49% and increase membership from 10% to 51%. From there, Botafogo could use mechanisms in the corporate agreement to facilitate the transfer of shares to GDA.
This should not be treated as if it were an incontrovertible fact. The public documentation located in this investigation proves that the club activated the mechanism and claimed the new composition, but does not offer sufficient basis to state, without reservations, that all registration and legal discussion about this 51% is definitively closed.
Therefore, the most precise formulation today is: the social club maintains that it assumed 51% after the subscription bonus was triggered; the corporate structure remains linked to the transition and ongoing litigation.
Who is in charge of day-to-day management
There is less ambiguity here.
Eduardo Iglesias is at the head of SAF. He was appointed general director in May, amid the company's judicial reorganization, and subsequently had his position ratified at a meeting with the participation of all voting capital.
At an Extraordinary General Meeting held on June 29, shareholders representing 100% of the voting capital removed John Textor, Kevin Weston and Jordan Fiksenbaum from the Board of Directors. Estevão Prates Benincá, Ricardo Menezes Mello and Carlos Thiago Cesario Alvim were elected to the new council. Botafogo's official note also reaffirmed Iglesias at the head of management in the context of judicial intervention.
Therefore, when the question is “who manages Botafogo today?”, the answer goes through the structure commanded by Eduardo Iglesias and the current Board of Directors — and not by Textor.
Where John Textor still has power
Textor's power today lies mainly in the legal dispute, not in the administration of the SAF.
He was removed from command by the Arbitration Court in April and subsequently lost his position on the Board of Directors following a shareholder resolution. Since then, he has been seeking decisions that could restore rights or prevent the consolidation of a sale that would definitively remove SAF from the Eagle structure linked to him.
On July 29, the Rio de Janeiro Court of Justice denied a request by Textor to block shares that could be transferred in the sale process. The decision, however, did not judge the merits of the action in which he tries to regain control. This detail is important: it was a defeat in a specific measure, not necessarily the end of the entire dispute.
Textor, therefore, remains a relevant character because he can litigate and contest previous acts. But this is different from being able to sign players, appoint executives or make strategic decisions for the SAF alone.
What's missing for GDA to become controller without asterisks
The change will become much simpler to describe when three elements converge: the transfer of shares to GDA is corporately completed, the new shareholding composition is formalized without a material controversy capable of impeding its effects and the company's governance begins to unequivocally reflect the new controller.
Today there are strong economic and operational signs of transition. The GDA signed a binding agreement, has already anticipated appeals and participates in decisions. But the progress of the operation itself faced obstacles involving Eagle/Cork Gully and led the social club to activate the subscription bonus as a new route to complete the deal.
It is precisely this difference between entering power and already formally in control that explains the apparent contradiction in the news of recent months.
So, who controls Botafogo's SAF today?
The photograph of August 8, 2026 can be summarized as follows: the effective administration is with Eduardo Iglesias and the current governance of the SAF; the GDA already exerts economic and sporting influence, but the formal change of control has not yet appeared as definitively completed in the reliable sources consulted; Eagle Bidco remains at the center of the corporate chain, but under the management of Cork Gully; social club claims 51% after triggering subscription bonus; and Textor is out of management, although he maintains legal disputes.
For the fan, the next relevant milestone is no longer a declaration of intent or other anticipated contribution. It is the documentation that allows us to say, without conditions, that the shares changed hands and that GDA went from being an investor participating in the transition to being the formal controller of SAF.
